Wholesale & Consignment Terms and Conditions

Wholesale Order Fulfillment and Shipping

  • The projected delivery schedule will be provided within 2 business days of order confirmation and deposit receipt.
  • Wholesale orders ship or are locally delivered by the 7th business day from time of order confirmation and receipt of deposit for smaller wholesale orders (10-20 items)..
  • Larger wholesale orders may take 11 business days or more to ship or locally deliver from the time of order confirmation and receipt of deposit, details will be provided. Products can be delivered in installments of MOQ every 7 business days (or less if production rate increases).

Payment Terms

  • A non-refundable deposit of 50% of the order total is required at the time of order for wholesale. The remaining amount is due at the time of delivery. If the remaining payment is not ready at the time of delivery, the wholesale customer has an additional 5 business days to provide payment, during which items will be held in stock and reserved. After 5 business days, the items will be restocked and potentially shipped to other customers.
  • Any improper payment, including (but not limited to) a bounced check or chargeback, will incur a minimum fee of $200 or 10% of the order total (pre-tax), whichever is greater, plus any fees incurred by FasterShape LLC.

 

 

Refunds, Returns, and Damages

  • All sales are final, and no returns or refunds will be accepted except for defective items.
  • Defective items must be reported to FasterShape LLC within 7 days of receipt and accompanied by photographic evidence that item was not damaged in transit, by employees, by customers, or in other ways outside the control of FasterShape LLC.
  • FasterShape LLC will not be responsible for damage caused during transit unless delivery of the items is provided by FasterShape LLC or its representatives.

Cancellations and Order Changes

  • Orders cannot be canceled or modified more than 24 hours after confirmation. Orders canceled after production begins will forfeit the deposit.

Consignment Order Fulfillment and Shipping

  • Product(s) to be sold on consignment (Consignment Order(s)) will be provided by request with a maximum number of item(s) to be decided on a case by case basis by FasterShape LLC. An entity or entities hosting consignment sales of products from FasterShape LLC, or that receives a product(s) with the intent to sell the product(s) on consignment is referred to in these terms as the Consignment Seller(s).
  • Once a product or products are requested or accepted for sale on consignment, the recipient or requesting party of the product(s) to be sold on consignment, as well as any intermediary parties of any sort, agree to be bound by these terms.
  • First time Consignment Seller Orders can only be made on products already in stock. Repeat Consignment Orders from the same customer may be provided the opportunity to request out of stock product(s) at the discretion of FasterShape LLC.
  • All product(s) provided remain property of FasterShape LLC and can be requested to be returned at any time by FasterShape LLC. Any product(s) requested to be returned will be provided in person to FasterShape LLC or shipped with confirmation within 2 of the regular operating days of the Consignment Seller. Failure to provide the product(s) requested within 2 of the regular operating days of the Consignment Seller will result in the item being treated as sold on a prorated wholesale basis at a fair rate to be calculated by FasterShape LLC, plus a fee of 5% of the MOQ Wholesale Price of the product(s) respectively.
  • The projected delivery schedule of the Consignment Order(s) will be provided within 2 business days of order confirmation by FasterShape LLC.
  • Consignment Rates paid on products sold are 15% of the Wholesale Markup, defined by the following equations:
    (SRP) – (Lowest Unit Wholesale Price) = Wholesale Markup
    and: Consignment Rates = (Wholesale Markup)*0.15
  • Consignment Orders ship or are locally delivered by the 7th business day from time of order confirmation and receipt of payment for smaller Consignment Order(s) (between 1-5 products total).
  • Larger orders (greater than 5 products total) may take 11 business days or more to ship or locally deliver from the time of order confirmation and receipt of payment, details will be provided. Products can be delivered in installments of MOQ every 7 business days (or less if production rate increases).
  • Consignment will not be offered on orders exceeding a specified quantity and/or value to be decided by FasterShape LLC. Instead, FasterShape LLC will offer these customers a prorated wholesale rate that will be calculated on a case by case basis, and will be dependent on numerous criteria including but not limited to items ordered, the number of items ordered, shipping costs, delivery costs, etc.
  • Once a product is sold on consignment, the Consignment Seller must notify FasterShape LLC within 24 hours of the sale by sending an email to fastershape@gmail.com containing the following information:
    • The Consignment Seller name
    • Date of sale
    • Product(s) sold, including colors/appearance option of product sold.
    • If a restock is requested
    • Preferred payment method (to be established with each Consignment Seller before items are provided on a case-by-case basis)

 

Consignment Payment Terms and Payout Schedule

  • Consignment Payment Terms:
    • The Consignment Seller will provide payouts to FasterShape LLC on a weekly basis every Monday, covering sales reported in the preceding week from the previous Sunday to the following Saturday. All times calculated based on Consignment Seller location.
    • Payments will be made via the preferred payment method established during the initial consignment agreement (e.g., ACH transfer, PayPal, or check).
    • A detailed sales report, including sold items, sale dates, and total payment calculations, must accompany each payout.
  • Payout Calculation:
    • The payout for each sold product will be calculated at the agreed-upon consignment rate (15% of the Wholesale Markup).
    • Example Calculation:
      • SRP: $50
      • Lowest Unit Wholesale Price: $25
      • Wholesale Markup: $50 - $25 = $25
      • Consignment Rate (retained by Consignment Seller): $25 * 0.15 = $3.75
      • Payout to FasterShape LLC: $50 (SRP) - $3.75 (Consignment Rate) = $46.25
  • Late Payments or Disputes:
    • If the Consignment Seller fails to provide notification of sales or payout within the bi-weekly schedule, an administrative fee of 5% of the outstanding amount will be applied.
    • Any disputes regarding payouts must be raised within seven business days of receiving the sales report. FasterShape LLC will review and resolve disputes within five business days of notification.

 

Ownership of Unsold or Damaged Products:

  • The Consignment Seller will notify FasterShape LLC of any products not sold within 120 days of receipt.
  • The Consignment Seller will return unsold products by request to FasterShape LLC in the condition they were provided. Products returned to FasterShape LLC for any reason will be reviewed for damage.
  • The Consignment Seller will be liable for any damage to products provided while in their possession.
  • Any product(s) that are damaged while in the possession of the Consignment Seller will be treated as sold, with payment due during the next payout date from the Consignment Seller. The Consignment Seller is responsible for proper storage and handling to prevent damage.
  • Failure to notify FasterShape LLC of unsold products within the agreed timeframe or compensate for damaged products will result in the product being treated as sold under these consignment terms, and FasterShape LLC will issue an invoice for the applicable amount, plus an administrative fee of 5% of the applicable amount. Products returned to FasterShape LLC which are deemed to be damaged are the property of, and will be retained by, FasterShape LLC.

 

These terms supersede and void any prior or future agreements, terms, conditions, or arrangements made or provided by FasterShape LLC and its affiliates, representatives, employees, contractors, associates, owners, or other related persons/parties, unless otherwise agreed to in writing by FasterShape LLC. 

 

Intellectual Property Rights

  • All designs, logos, information, and products remain the exclusive property of FasterShape LLC in whole and in part, in perpetuity, throughout the universe, and may not be reverse engineered, copied, or reproduced without prior written consent from FasterShape LLC.
  • LEGO® is a registered trademark of the LEGO Group. The LEGO Group is not affiliated in any way with FasterShape LLC.

Force Majeure

  • FasterShape LLC is not liable for delays or failure to deliver due to events beyond its control, including but not limited to: natural disasters, labor actions, supply chain disruptions, acts of terrorism or war, etc.

Governing Law

  • These terms are governed by the laws of Washington State or the state or local governing laws at the Buyer’s location, whichever is more favorable to FasterShape LLC.

Agreement to Terms

  • By placing orders with, or accepting products from, FasterShape LLC, the Wholesale Customer or Consignment Seller agrees to be bound by these terms and conditions.
